Terms of Service

1. Acceptance of Terms

By accessing or using Gephra Trade (the "Platform"), operated by Gephra Ltd, a company registered in the Republic of Rwanda ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

Gephra Trade is a Software-as-a-Service (SaaS) platform that provides:

• Export readiness assessments for African businesses
• Market requirements information for cross-border trade
• Personalized gap analysis and action plans
• Access to trade documentation requirements and regulatory body contacts

The Platform does not provide legal, financial, or professional trade consulting services. All information is for guidance purposes only.

3. Eligibility

You must be:

• At least 18 years of age
• Capable of entering into legally binding contracts under applicable law
• Operating a legitimate business or conducting bona fide export research

By using the Platform, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Account Creation

You must create an account to access certain features. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Provide false or misleading information
• Engage in fraudulent activity
• Remain inactive for more than 24 months

You may delete your account at any time from your dashboard settings.

5.1 Service Tiers

5.2 Price Changes

We reserve the right to modify pricing with 30 days' notice to active subscribers. Price changes do not affect existing subscription periods already paid for.

5.3 Free Tools

The Market Requirements Explorer is provided free of charge and may be modified or discontinued at any time without notice.

6. Payment Terms

6.1 Payment Methods

We accept payments via:

• Mobile Money (MTN Mobile Money, Airtel Money)
• Credit/Debit Cards (Visa, Mastercard)
• Bank transfers (for annual plans)

Payments are processed securely through our payment partners: Dodo Payments, Mobile Money operators, and PESAPAL.

6.2 Payment Processing

• All prices are in USD unless otherwise stated
• You authorize us to charge your selected payment method
• Failed payments may result in service suspension
• You are responsible for all applicable taxes

6.3 Subscription Renewals

Unlimited Plan subscriptions automatically renew monthly unless canceled at least 24 hours before the renewal date.

6.4 No Refunds for Unused Subscription Time

If you cancel your Unlimited Plan mid-cycle, you retain access until the end of your paid period, but no prorated refunds are issued for unused time.

8. Intellectual Property

8.1 Our Rights

All content, features, functionality, trademarks, logos, and software on the Platform are owned by Gephra Ltd and protected by Rwandan and international intellectual property laws.

8.2 Your License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your business purposes. You may not:

• Copy, modify, or distribute Platform content
• Reverse engineer or attempt to extract source code
• Use automated systems (bots, scrapers) without permission
• Resell or sublicense access to the Platform

8.3 Your Content

You retain ownership of information you submit (business details, assessment responses). By submitting content, you grant us a license to use it to provide services, generate reports, and improve the Platform.

9. Data Accuracy and Disclaimer

9.1 Information Accuracy

We strive to provide accurate, current trade requirements sourced from official government agencies and verified partners. However:

• Regulations change frequently
• We do not guarantee 100% accuracy or completeness
• Information is provided "as is" for guidance only
• You are responsible for verifying requirements with official authorities

9.2 No Professional Advice

The Platform does not provide legal, financial, tax, or professional consulting advice. Our assessments and reports are informational tools only. Consult qualified professionals for specific guidance.

9.3 Third-Party Links

The Platform may contain links to third-party websites, regulatory bodies, and service providers. We do not endorse or assume responsibility for third-party content or services.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

10.1

Gephra Ltd, its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from reliance on Platform information
• Rejected shipments, customs delays, or failed export attempts
• Third-party service provider performance

10.2 Maximum Liability

Our total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is less.

10.3 Jurisdictional Limitations

Some jurisdictions do not allow certain liability exclusions. If these laws apply to you, some of the above limitations may not apply.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gephra Ltd and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Platform
• Your violation of any third-party rights
• Inaccurate information you provide
• Your export activities or business operations

12. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Impersonate any person or entity
• Transmit viruses, malware, or harmful code
• Interfere with Platform security or functionality
• Harvest or collect user information without consent
• Use the Platform for illegal trade activities
• Submit false or fraudulent assessment information

13. Modifications to Service and Terms

13.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability.

13.2 Terms Changes

We may update these Terms periodically. Continued use after changes constitutes acceptance. Material changes will be communicated via email or Platform notification at least 30 days in advance.

14. Termination

14.1 By You

You may terminate your account at any time by:

• Canceling your subscription (if applicable)
• Deleting your account from dashboard settings
• Emailing support@gephra.com

14.2 By Us

We may terminate or suspend your access immediately, without notice, for:

• Violation of these Terms
• Fraudulent activity or payment disputes
• Harmful conduct toward our team or other users
• Legal or regulatory requirements

14.3 Effect of Termination

Upon termination:

• Your right to access the Platform ceases immediately
• Completed assessment reports remain accessible for 90 days
• Outstanding fees become immediately due
• Sections of these Terms that by nature should survive (indemnification, limitation of liability, dispute resolution) remain in effect

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Republic of Rwanda, without regard to conflict of law principles.

15.2 Negotiation First

Before initiating formal proceedings, parties agree to attempt good-faith negotiations to resolve disputes. Contact us at support@gephra.com.

15.3 Arbitration (Optional - Consult Local Counsel)

If negotiations fail, disputes may be resolved through binding arbitration under the Kigali International Arbitration Centre (KIAC) rules, or as otherwise agreed by both parties.

15.4 Jurisdiction

If arbitration does not apply, you agree to submit to the exclusive jurisdiction of the courts located in Kigali, Rwanda.

15.5 Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Gephra Ltd.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign or transfer these Terms. We may assign our rights to any affiliate or successor.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, government actions, internet outages, etc.).
